<p>According to Bernie Sanders, 4 hedge fund managers make more than 120,000 kindergarten teachers, today. The trend toward extreme inequality is unrelenting and affects everyone.</p>
<p>The top <a href="https://www.greenprophet.com/2024/07/how-excess-ceo-pay-affects-us-all/">10 US-based CEO</a>&#8216;s generated $1,563 million in personal compensation 2022. Nine of 10 of these CEO’s led companies which generated less than 10% increase in shareholder wealth.</p>
<p>Seven CEO’s oversaw billions in shareholder declines throughout the year. But this did not stop the CEOs from collecting. Admittedly, 2022 was a tough year for the stock market in general. But what does this say to other employees about paying for performance?</p>
<p>The message to other executives and middle managers is to take what you can while the taking is available. For the rest of us, this is the time to apply pressure for change.</p>

<p>First let’s define excess pay. Excess pay is when you pay for something that you do not receive. When hiring executives to run your company, you are right to expect a certain level of performance excellence. When you don’t receive that performance excellence you might feel cheated.</p>
<p>When you get the performance you expect you may be very happy to pay absolutely large compensation if it is a small percentage of the value created.</p>

<p><a href="https://www.greenprophet.com/tag/elon-musk/">Elon Musk</a> who led the development of a $500 billion company, <a href="https://www.greenprophet.com/tag/tesla/">Tesla</a>, may rightly deserve his $56 billion USD compensation package while another CEO who generated no value in 10 years is not worth his $600k annual compensation package. We can debate how much value Elon actually oversaw and when that value was created. But the basic premise of shareholders earning $1.00 and offering a slice to the top dog in the organization seems reasonable.</p>
<p>If the $1.00 is followed by a billion zeros then I expect the captain of the ship to have earned a princely sum for guiding the enterprise to safe lucrative shores.</p>
<p><strong>How do these pay packages affect workers and shareholders?</strong></p>
<p>1. Extreme excess pay changes CEO decision making &#8211; perpetuates losing businesses which over-compensate the CEO and under-compensate everyone else such as employees and shareholders.</p>
<p>2. Dilutes shareholders’ position &#8211; if the executives issue themselves 1% of the company every year it starts to add up over 10 years. I have seen small companies issue 4% of shares annually.</p>
<p>3. Reduces cash that otherwise could be used to fund growth and enterprise development. 4. Demoralizes workers and investors and can create envy.</p>
<p>5. Motivates other executives and middle managers to request more and create a new escalation of unnecessary expense.</p>
<p>The effects of over-paying become dramatic over a lifetime for any company trying to create a<a href="https://www.greenprophet.com/tag/impact-investing/"> sustainable business</a> of any kind. Real effects include reduction in workers wages compounding into lower savings compounding into lower investment levels and compounding into generating lower income from investments.</p>
<p>Ouch that all hurts the common man, woman, and their children. And what can we do to change this inequality as individual investors looking to create prosperity for all? We can attempt to cap the run away compensation packages, but the resistance will be relentless.</p>
<p>Or we can learn to leverage our knowledge and profit by it. That is my approach. I supply information so people can invest in companies that will last 100 years or more.</p>

<p>The UN has released a toolkit so bankers can invest in the sea. Good news because the <a href="https://www.greenprophet.com/2020/09/is-your-bank-funding-fires-in-the-amazon/">banks who invest in burning the Amazon rainforest are reeling from the bad press</a>. America&#8217;s most powerful banking institution, the Securities and Exchange Commission, announced the creation of a Climate and ESG Task Force in the Division of Enforcement. This is hot on the heels of a new <a href="https://www.greenprophet.com/2021/03/how-bankers-invest-ocean-un-guide/">UN toolkit which shows bankers how to invest in saving our seas</a>. </p>
<p>The U.S. Securities and Exchange Commission (known as The SEC) is a large independent agency of the United States federal government that was created following the stock market crash in the 1920s to protect investors and the national banking system. The primary purpose of the SEC is to enforce the law against market manipulation. But now they are going to help save our planet.</p>
<p>The task force will be led by Kelly L. Gibson, the Acting Deputy Director of Enforcement pictured below, who will oversee a Division-wide effort, with 22 members drawn from the SEC’s headquarters, regional offices, and Enforcement specialized units.</p>

<p>Consistent with increasing investor focus and reliance on climate and <a href="https://www.greenprophet.com/tag/esg/">ESG</a>-related disclosure and investment, the Climate and <a href="https://www.greenprophet.com/tag/esg/">ESG</a> Task Force will develop initiatives to proactively identify ESG-related misconduct. </p>
<p>The task force will also coordinate the effective use of Division resources, including through the use of sophisticated data analysis to mine and assess information across registrants, to identify potential violations.</p>
<p>The initial focus will be to identify any material gaps or misstatements in issuers’ disclosure of climate risks under existing rules. The task force will also analyze disclosure and compliance issues relating to investment advisers’ and funds’ ESG strategies. <p>“Climate risks and sustainability are critical issues for the investing public and our capital markets,” said Acting Chair Allison Herren Lee. “The task force announced today will play an important role in enhancing and coordinating the efforts of the Division of Enforcement, the Office of the Whistleblower, and other parts of the agency to bolster the efforts of the Commission as a whole on these vital matters.”</p>
<p>“Proactively addressing emerging disclosure gaps that threaten investors and the market has always been core to the SEC’s mission,” said Acting Deputy Director of Enforcement Kelly L. Gibson, who will lead the task force. “This task force brings together a broad array of experience and expertise, which will allow us to better police the market, pursue misconduct, and protect investors.”</p>

<p>Eco banking, or green investing. It seems to have reached the top of its hype around 2008, or around the time when Coldplay said it would plant a tree for every album sold or downloaded. It was also around the time when the notion of <a href="https://www.greenprophet.com/2012/04/carbon-offset-model-saudi-arabia/">carbon credits</a> would work for our system –– that companies would pay others to make their businesses carbon neutral, and less damaging to the atmosphere by way of greenhouse has emissions.</p>
<p>But since then the topic has petered away. Did those trees that Coldplay planet ever grow? Who thought about the cost of maintaining those $1 trees every year? Then there was the catastrophic losses in clean tech investment, making cleantech a pariah for the has-beens or could have beens green energy companies. Solar energy investments tanked. Wind, ethanol and all the other promises made by a bandwagon of companies didn&#8217;t hold true, so investors held off.</p>
<p>Why did this happen? And what can we learn? Should all bets be off and business be as usual? Of course not! We can learn that the 2007 era was a time when companies were being built by stock brokers and hedge fund managers, many of them money men, hoping to cash in on the lucrative grants and feed-in tariff guarantees that governments and cities offered to help them go green. They had no clue about the environment on a deep level.</p>

<p>But the green or clean tech companies that survived until today are different. These ones are led by a more educated group of people who understand what triple bottom line means. They read books. They make news and they know who Rachel Carson is and they know what Cradle to Cradle means. Ask a solar energy/clean tech someone in the 2007, and you&#8217;d be surprised to see how little any of these guys knew about sustainability. I know because I was there. And I say guys because a strong majority of them were men. One company I interviewed didn&#8217;t know what greenhouse gases were. No joke.</p>
<p>But we shouldn&#8217;t throw the baby out with the bathwater. It&#8217;s 2017 and we are a lot smarter about investing today. But so are the companies changing our world for the good. We are also a lot smarter with technologies (like core banking) and the way we manage our portfolios.</p>
<p>According to numerous reports, including a recent one in <a href="http://www.forbes.com/sites/toddmillay/2017/01/04/how-sustainable-investing-can-help-you-meet-portfolio-goals-without-sacrifice/">Forbes</a>, green or sustainable investing can help you meet your portfolio goals without sacrificing your bottom line return on investment. The investment magazine cites a newly published report from the US SIF (The Forum for Sustainable and Responsible Investment), which found that every dollar invested in sustainable, responsible and impact (SRI) assets – and that amounts to $8.72 trillion as of 2016 – is 33% higher than it was in 2014. What this means is that every $1 out of every $4.6 under professional money management in the US is now invested in SRI strategies.</p>

<p>This approach, the report concludes includes environmental, social and governance (ESG) factors or a mission in investing in sustainable areas. And being a part of this mission will not affect your returns. Here’s why. According to the Forbes&#8217; article:</p>

<p>&#8220;Modern portfolio theory says that if an investor limits the pool of possible securities to choose from, the probability of maximizing returns for a given level of risk is reduced. But limiting the pool of possible securities based on ESG criteria has the opposite effect. The reason is that ESG criteria are key indicators of management quality, which helps avoid stock specific risk in a market with imperfect and asymmetric information.&#8221;</p>
<p>Other factors that mitigate risk is management quality and services. Today&#8217;s managers demand jobs with meaning and higher purpose which affects their operational efficiencies. They simply are motivated to make more money so they can keep making the world a better place. It&#8217;s motivating!</p>
<p>And the research coming out of academia supports this theory was well, including a 2014 paper from Oxford University that according to Forbes, &#8220;concluded that 90% of the studies demonstrated that sound sustainability standards lowered companies’ cost of capital, 80% of the studies observed that stock performance and good sustainability practices are positively correlated, and 88% of the studies showed that robust ESG practices improved companies’ operational performance.&#8221;</p>
